Terms of Service

1. Introduction

Welcome to NonSilo ("we," "us," "our," or the "Service"). NonSilo is a platform operated under the ReBuild Ukraine initiative that facilitates communication, collaboration, and coordination between organizations, projects, and individuals working on Ukraine's reconstruction efforts.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NonSilo regarding your access to and use of the Service, including our website, mobile applications, and all related services.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Acceptance of Terms

By creating an account, accessing the Service, or using any feature or functionality thereof, you expressly acknowledge and agree to comply with these Terms, our Privacy Policy, and all applicable laws and regulations.

We reserve the right to modify these Terms at any time. Continued use of the Service following any such modification constitutes your acceptance of the modified Terms. You are responsible for regularly reviewing these Terms.

3. Service Description

NonSilo provides a comprehensive platform designed to support the ReBuild Ukraine initiative by offering:

• Multi-language communication tools with real-time translation capabilities for text and voice
• Organization profile management with AI-enhanced enrichment from public data sources
• Project discovery and management features integrated with the DREAM API for Ukraine reconstruction projects
• Collaborative workspaces with chat functionality for up to 50 participants
• Standardized presentation of organizations, projects, and collaboration requests using UNSPSC taxonomy classification

4. User Accounts and Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account or any other breach of security

5. User Obligations and Acceptable Use

When using the Service, you agree to:

• Comply with all applicable local, national, and international laws and regulations
• Use the Service only for lawful purposes and in accordance with these Terms
• Not impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
• Respect the intellectual property rights of others and not upload, post, or transmit content that infringes such rights
• Maintain professional and respectful communication with other users of the Service

6. Prohibited Activities

You expressly agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any laws
• Transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Interfering with or disrupting the Service or servers or networks connected to the Service
• Attempting to gain unauthorized access to any portion of the Service, other user accounts, or computer systems or networks
• Using any automated means, including robots, crawlers, or scrapers, to access the Service without our prior written permission
• Transmitting spam, chain letters, or other unsolicited mass communications
• Introducing viruses, malware, or other malicious code to the Service
• Engaging in any activity that could damage, disable, overburden, or impair the Service

7. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by NonSilo, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your personal or internal business purposes in accordance with these Terms.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as incidental to normal use of the Service or as expressly authorized in writing by NonSilo.

8. User-Generated Content

You retain all ownership rights to content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant NonSilo a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that User Content in connection with operating and providing the Service.

You represent and warrant that: (a) you own or control all rights to your User Content; (b) your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person or entity; and (c) your User Content complies with these Terms.

We reserve the right to remove or modify any User Content for any reason, including User Content that we believe violates these Terms or applicable law, or is otherwise objectionable.

9. Service Availability and Modifications

We strive to provide reliable and continuous access to the Service, but we do not guarantee that the Service will be available at all times or that it will be error-free, secure, or uninterrupted. We reserve the right to modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice, for any reason.

We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

You may terminate your account at any time by contacting us or using the account deletion functionality provided in the Service. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Disclaimers of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, NONSILO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NONSILO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM NONSILO OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NONSILO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL NONSILO'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100 USD) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

13. Indemnification

You agree to defend, indemnify, and hold harmless NonSilo, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved through good faith negotiation between the parties.

If the parties cannot resolve the dispute through negotiation within thirty (30) days, either party may initiate binding arbitration in accordance with the rules of a mutually agreed arbitration body.

The arbitration shall be conducted in the English language, and the arbitrator's decision shall be final and binding upon both parties. Each party shall bear its own costs and expenses in connection with the arbitration, and the parties shall share equally the fees and expenses of the arbitrator.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Kyiv, Ukraine, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired, and such provision shall be deemed modified to the minimum extent necessary to make such provision valid, legal, and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and NonSilo concerning the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and NonSilo.
